依据《中华人民共和国合同法》、《中华人民共和国电信条例》及其他相关法律、法规之规定，甲乙双方本着平等、自愿、互利的原则，经友好协商一致，就乙方向甲方提供网络平台服务事宜达成如下约定以资遵守：
In accordance with the Contract Law of the People’s Republic of China, Telecommunications Regulations of the People’s Republic of China, and other relevant laws and regulations, Party A and Party B, adhering to the principles of equality, voluntariness and mutual benefit, and through friendly consultation, have reached the agreement on the provision of Shutian Technologies Network Platform Service, and enter into this Agreement with the following terms and conditions for the Parties to comply with:
一、服务合同标的
1. Subject of Service Contract
甲方购买乙方服务之内容、期限、价格、结算及支付方式等详见附件《服务订单》。
As for the contents, terms, price, settlement and payment for the Services purchased by Party A, see Service Order for details.
二、合同文件构成
2. Contractual Documents
本协议书与下列文件一起构成双方合作的完整合同文件：
This Service Agreement, together with the following documents, constitutes a complete agreement:
(1) 《服务订单》；

(2) 《蜀天信息有限公司服务合同（专用条款）》；
Shutian Technologies Company Limited Service Contract (Special Terms);
(3) 《四川蜀天信息技术有限公司服务合同（通用条款）》

在合同订立及履行过程中形成的与合同有关的文件均构成合同文件组成部分；本协议书、《服务订单》及其附件须经合同当事人签字盖章，双方同时确认上述《四川蜀天信息技术有限公司服务合同（专用条款）》、《四川蜀天信息技术有限公司服务合同（通用条款）》为本协议不可分割的组成部分，如双方签署本协议，视为双方同意受上述《四川蜀天信息技术有限公司服务合同（专用条款）》、《四川蜀天信息技术有限公司服务合同（通用条款）》的约束。上述各项合同文件包括合同当事人就该项合同文件所作出的补充和修改，属于同一类内容的文件，应以最新签署的为准。
Related documents concluded during the entering into and performance of the Agreement shall constitute parts of the contractual documents. The effectiveness of the Service Agreement, Service Order and other appendices hereof shall be subject to the signature and/or seal of the Parties. The Parties also agree that Shutian Technologies Company Limited Service Contract (Special Terms) and Shutian Technologies Company Limited Service Contract (General Terms) stated above are integral parts of this Agreement. Where this Service Agreement is executed, the Parties are regarded to be bound by these General Terms and Special Terms. The contractual documents mentioned above shall include any following supplements and/or amendments made by the Parties. In the event of any inconsistency amongst these contractual documents, the latest signed version shall have the highest prevailing effect.

双方在本合同中指定的合同负责人可以代表该方通过约定的联系方式（如电子邮箱），对合同进行变更、续约、终止等。
The Authorized Contact Persons designated under this Agreement have the rights to amend, renew and terminate this Agreement for and on behalf of the Party through the agreed contact manner (for instance, e-mail).

五、补充协议
5. Supplementary

六、合同份数、合同生效
6. Counterparts and Effectiveness
6.1 本协议一式肆份，均具有同等法律效力，甲方执贰份，乙方执贰份。
This Agreement shall be made in four originals; each Party shall hold two copies with the same legal effect.
6.2 本协议自双方签章后生效。
This Agreement shall come into effect upon signing and sealing of both Parties.
6.3 本协议用英文和中文两种文字写成,如上述合同条款出现中英文表述歧义或内容歧义，均以中文条款为准。
This Agreement is made out in English and Chinese languages, in case of any discrepancy between the Chinese version and the English version, the Chinese version shall prevail.
